Business Registration in South Africa
To register a business with the Companies and Intellectual Property Commission (CIPC), the following details are required:
Business Information
- Proposed Business Name (up to 4 name options)
- Business Type (e.g., Private Company – Pty Ltd, Sole Proprietorship, Non-Profit, etc.)
- Nature of Business (brief description of what the business will do).
- Physical & Postal Address of the Business
- Business Contact Details (phone number, email)
Director(s) Information
- Full Name(s)
- ID or Passport Number (for foreign nationals)
- Date of Birth
- Residential and Postal Address
- Contact Number & Email
- Percentage of Shareholding (if applicable)
Supporting Documents
- Certified Copy of ID or Passport for each Director/Owner
- Proof of Address (not older than 3 months)
- Consent Form (CoR14.1A) signed by all directors
- Power of Attorney (if a representative is applying on behalf of the owner)
Steps to Register a Business in South Africa
Name Reservation (Optional but Recommended)
- Submit up to 4 business name options via CIPC
- If a name is approved, it will be reserved for 6 months.
- If rejected, alternative names must be submitted.
- If the name is reserved, proceed with company registration.
- Submit all required documents and pay the registration fee.
- CIPC will issue a registration number and company documents (e.g., CoR14.3 and CoR15.1A).
- Automatically registered with SARS for tax purposes.
- Apply for a Tax Clearance Certificate and BEE Affidavit (if required)
- Provide business registration documents, tax clearance, and proof of business address.
- VAT (if turnover exceeds R1 million per year).
- PAYE/UIF (if hiring employees).
- COIDA (if employing staff in certain industries).
